Key points (plain-English summary; the full Terms below control):

  • You must be 18 or older to create an account.
  • GreenGo runs the marketplace. Each seller sells their own product and is responsible for it.
  • Green Light checks are automated checks of what is publicly visible on a given date. They are not a security audit, certification or guarantee.
  • Paid purchases have Buyer Protection for 14 days, or longer if the listing promises later delivery. Sellers are paid after that window ends and any open claim is resolved.
  • Subscriptions renew until you cancel, and you can cancel online anytime in Settings › Billing.
  • Disputes go to a 30-day informal process first, then to individual arbitration or small-claims court. You can opt out of arbitration within 30 days.
  • You can close your account anytime.

1. Agreement

These Terms of Service ("Terms") are a contract between you and GreenGo Partners LLC, a New York limited liability company ("GreenGo", "we", "us"), located at 1515 Surf Ave, Brooklyn, NY 11224. They govern your use of greengopartners.com and every related site, app, API, MCP endpoint and service (the "Platform").

You accept these Terms by checking the box next to the link to them when you create an account or, if you buy without an account, at checkout before you pay. If you act for an organization, you accept for it and confirm you have authority to bind it. If you only browse without an account, Section 8 (our property) and Section 9 (acceptable use) still apply to you.

These Terms incorporate the policies at greengopartners.com/legal: the Privacy Policy, Buyer Protection and Refund Policy, Acceptable Use, Prohibited Listings and Reviews Policy, Copyright and DMCA Policy, and Security and Vulnerability Disclosure Policy. Sellers also accept the Seller Agreement and the Green Light Check Terms; partners, fixers and Flip Desk users accept those programs' terms. A program document controls on its own subject if it conflicts with these Terms, except that Section 18 (disputes) controls over every document.

2. Eligibility

  • You must be at least 18 years old and able to form a binding contract.
  • You may not use the Platform if you are on a U.S. sanctions list, are located or ordinarily resident in a comprehensively sanctioned country or region, or are otherwise barred by law.
  • One account per person unless we approve otherwise. Accounts are not transferable.

3. Your account

  • Give accurate information and keep it current.
  • Keep your credentials secure and use multi-factor authentication where offered. You are responsible for activity under your account, unless it results from our failure to use reasonable security.
  • Tell us right away at info@greengopartners.com if you suspect unauthorized access.

4. What GreenGo does — and does not do

  • Marketplace. GreenGo provides a venue and tools where independent sellers list digital products — software, SaaS access, AI agents, games, templates, assets and courses ("Digital Products") — and buyers purchase them.
  • Seller of record. The seller of each Digital Product sells it to the buyer and is responsible for the product, its description, its license terms, support and legal compliance. GreenGo is not the seller, developer or licensor of third-party Digital Products.
  • Payments. Payments are processed by Stripe. Each seller appoints GreenGo as its limited agent to accept payment from buyers on the seller's behalf. When you pay the amount due through the Platform, your payment obligation to the seller is fully satisfied, even if the seller has not yet received a payout. GreenGo does not act as an escrow agent or hold buyer funds in trust.
  • Taxes. Where the law treats GreenGo as a marketplace provider or facilitator, GreenGo calculates, collects and remits sales tax on the sales it facilitates. Taxes are shown at checkout.
  • No general review. We do not pre-approve every listing, review or message, and we do not promise that any Digital Product is accurate, lawful, secure or fit for a purpose, except as stated in the Buyer Protection and Refund Policy.

5. Buying

  • Prices. Sellers set prices. The total, including taxes, is shown before you pay. GreenGo adds no hidden buyer fees.
  • License. A purchase gives you a license on the terms shown on the listing. If a listing names no license, the GreenGo Standard License applies: a non-exclusive, non-transferable license, perpetual for one-time purchases and for the paid term for subscriptions, to use the product for your own personal or internal business purposes, with no resale, sublicensing or redistribution of the product or its source code.
  • Delivery. Digital Products are delivered electronically by download, access link or account activation.
  • Buyer Protection. Paid purchases are covered by the Buyer Protection and Refund Policy for 14 days after purchase, or for 14 days after the promised delivery date if that is later.
  • Chargebacks. Please contact us first; Buyer Protection is usually faster. We may suspend accounts that file chargebacks in bad faith.

6. Subscriptions and automatic renewal

Some products, including subscription listings, the seller Pro plan and Green Light Monitor, renew automatically. For subscriptions bought through GreenGo checkout, GreenGo's billing system gives the notices below on the seller's behalf. For the Pro plan, we send fee-change notices 30 days ahead, as the Seller Agreement requires.

  • Before you subscribe. Next to the subscribe button, we show the price, how often you will be charged, that the subscription renews until you cancel, the deadline to cancel before the next charge, and how to cancel. We charge only after your affirmative consent, and we email you a confirmation with these terms and how to cancel.
  • Free trials and introductory prices. We show when the trial or introductory price ends and what you will pay afterwards. For trials longer than one month, we remind you 3 to 21 days before the cancellation deadline.
  • Renewal reminders. For subscriptions with a term of one year or more, we remind you 15 to 45 days before the cancellation deadline, with instructions to cancel.
  • Cancel anytime online in Settings › Billing or from the order page, in no more steps than it took to subscribe. You never need to call, chat or email. We confirm every cancellation by email right away. Cancellation takes effect at the end of the current period, and you keep access until then. If we offer you something to stay, you can decline it with one click and your cancellation still completes.
  • Price increases and other material changes. We notify you by email 14 to 30 days before a price increase or other material change applies to you. For a price increase, we either ask for your consent before charging the new price or, if we do not, you can cancel within 14 days after the first higher charge and get a prorated refund for the unused part of that period.
  • Except as described above, as the law requires or under the Buyer Protection and Refund Policy, charges already made are not refunded.

7. Green Light checks

Green Light is GreenGo's automated check of a seller's listed website or app.

  • It covers only the checks named on the report, uses only information that is publicly reachable or that the seller provides, and reflects the product on the date shown.
  • It is not a security audit, penetration test, certification, warranty or guarantee that a product is secure, error-free, lawful or right for you. Automated checks can miss real problems and can flag problems that do not exist.
  • A badge means "passed the listed automated checks on the date shown." It expires as the Green Light Check Terms describe, including 90 days after the last passing check, when a re-check fails or is blocked, or when the product changes materially without a new check.
  • Treat Green Light results as one input in your own decision. If a product is not as described, your remedy is Buyer Protection.

8. Content and intellectual property

  • Your content. You keep ownership of what you post: listings, descriptions, images, reviews and messages ("User Content").
  • License to GreenGo. You grant GreenGo a worldwide, non-exclusive, royalty-free license to host, store, copy, display, format and distribute your User Content on the Platform, and to promote the Platform and your listings in GreenGo's own channels. The license ends when you remove the content or close your account, except for routine backups (deleted on our normal cycle), content others already received (such as a purchased product or a published review), and records the law requires us to keep.
  • Your promises. You have every right needed to post your User Content, and it does not break the law or anyone's rights.
  • Our property. The Platform, its software and design, the GreenGo and Green Light names and logos, and our reports belong to GreenGo or its licensors. Do not use our marks without written permission, except our official badge embed linking to your listing.
  • Feedback. We may use suggestions you send us without any obligation to you.

9. Acceptable use

Follow the Acceptable Use, Prohibited Listings and Reviews Policy. In short, do not: break the law; infringe rights; upload malware; defraud anyone; harass or threaten; manipulate reviews, rankings or fees; access the Platform by automated means other than our published APIs and MCP endpoint within their limits; probe or test the Platform's security except under our Security and Vulnerability Disclosure Policy; or work around technical limits.

9A. AI agents, API access and beta features

  • Your agents act for you. If you connect an AI agent, script or app to your account through our API or MCP endpoint, or give it your credentials or keys, its actions count as yours, including purchases, messages and listings. Use the spending and permission limits we offer; you can revoke an agent's access anytime in Settings. If an agent acts without your authority, tell us right away; we will help stop it and review the purchases it made under the Buyer Protection and Refund Policy.
  • AI products you buy are made by their sellers and may rely on third-party AI models. Their output can be wrong or unexpected; check it before you rely on it, especially before an agent spends money, sends messages or deletes data.
  • GreenGo's own AI features are labeled and may contain errors. Their output is a starting point, not legal, security or other professional advice.
  • Beta features, marked "beta" or "preview", may change or stop and are provided as is. They never reduce your rights under the Buyer Protection and Refund Policy.

10. Third-party services

The Platform links to and relies on third parties, such as Stripe for payments, sign-in providers and sellers' own sites. Their own terms govern those services, and GreenGo is not responsible for services or sites it does not control.

11. Suspension and termination

  • You can close your account anytime in Settings.
  • We may suspend or terminate an account, remove content or limit features if you breach these Terms or a policy, if we reasonably suspect fraud or a security risk, or if the law requires it. Where practicable and lawful, we will tell you why and let you respond. You can appeal to info@greengopartners.com within 30 days.
  • Licenses you validly purchased continue after termination, unless they were revoked under the Buyer Protection and Refund Policy or because the product was unlawful or infringing. Sections 7, 8, 9A and 12–19 survive.

12. Disclaimers

TO THE FULLEST EXTENT PERMITTED BY LAW, THE PLATFORM AND GREEN LIGHT RESULTS ARE PROVIDED "AS IS" AND "AS AVAILABLE". GREENGO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE PLATFORM WILL BE UNINTERRUPTED OR ERROR-FREE. DIGITAL PRODUCTS ARE PROVIDED BY THEIR SELLERS ON THE SELLERS' TERMS. Nothing in these Terms limits rights you have by law that cannot be waived.

13. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW: (A) GREENGO IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR GOODWILL; AND (B) GREENGO'S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE PLATFORM IS LIMITED TO THE GREATER OF THE AMOUNTS YOU PAID THROUGH THE PLATFORM IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR US$100.

These limits do not apply to liability for fraud, gross negligence or willful misconduct, to our refund obligations under the Buyer Protection and Refund Policy, or to any liability that the law does not allow to be limited.

14. Indemnity

If a third party brings a claim against GreenGo or its officers, employees or agents because you breached these Terms or a policy, broke the law or someone's rights, or posted unlawful User Content that caused the claim, you will defend and indemnify them against that claim and its reasonable costs, including reasonable attorneys' fees. GreenGo will notify you promptly and let you control the defense with counsel reasonably acceptable to us; you may not settle in a way that imposes obligations on GreenGo without our consent. This section does not cover claims caused by GreenGo's own breach or misconduct, and it never applies to a lawful review or other lawful statement you make about a product, a seller or GreenGo.

15. Changes to these Terms

  • For material changes we give at least 30 days' notice by email and on the Platform, and we ask you to accept the new version before you keep using account features after it takes effect.
  • Changes apply only going forward. They do not apply to a dispute that arose, or that either party gave notice of, before the change took effect.
  • If you do not agree, you can close your account before the change takes effect. Non-material changes, such as clarifications or new contact details, apply when posted with an updated date.

16. Communications

You agree to receive communications electronically, and electronic notices satisfy any requirement that they be in writing. Transactional messages (receipts, security alerts, policy notices) are part of the service. Marketing emails are optional and always include an unsubscribe link. Send legal notices to info@greengopartners.com and formal notices by mail to GreenGo Partners LLC, Attn: Legal, 1515 Surf Ave, Brooklyn, NY 11224.

17. Governing law and venue

The laws of the State of New York govern these Terms, without regard to conflict-of-law rules, and the Federal Arbitration Act governs Section 18. If you are a consumer, you keep the protection of the mandatory consumer laws where you live. Subject to Section 18, claims go to the state and federal courts in Kings County (Brooklyn), New York, and both parties consent to their jurisdiction; if you are a consumer, you may instead bring your claim in the courts for the county where you live.

18. Disputes: informal resolution, arbitration and class-action waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS HOW DISPUTES ARE RESOLVED. YOU CAN OPT OUT UNDER 18.8.

18.1 Informal resolution first. Before filing any claim, the party raising it sends the other a written notice — to info@greengopartners.com and 1515 Surf Ave, Brooklyn, NY 11224 for GreenGo, or to your account email for you — with the claimant's name and account email, a description of the claim and the relief sought, signed by the claimant personally. For 30 days after the notice, both parties will try in good faith to resolve it, including by a video or phone call if either asks. Deadlines for bringing claims pause during those 30 days. Each claimant must send their own notice.

18.2 Binding individual arbitration. Any dispute arising out of or relating to these Terms, the Platform or a purchase through it (a "Dispute") that is not resolved informally is resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, or its Commercial Arbitration Rules for Disputes between GreenGo and a business user, as modified here. If the AAA is unavailable, JAMS administers under its comparable rules.

18.3 Exceptions. Either party may (a) bring an individual claim in small-claims court in the county where you live or in Kings County, New York, as long as it stays there; and (b) seek an injunction in court to stop infringement or misuse of intellectual property or unauthorized access to systems or data.

18.4 Fees and location. For consumer Disputes, GreenGo pays all AAA filing, administration and arbitrator fees above what you would pay to file a lawsuit in your home court, unless the arbitrator finds your claim frivolous or brought for an improper purpose. Hearings happen by video or phone unless the arbitrator decides one must be in person, in which case it happens in the county where you live or another agreed place. Each party pays its own attorneys' fees unless the law or the AAA rules let the arbitrator award them.

Fees for small business users. For Disputes between GreenGo and an individual, or a business with 10 or fewer people, that uses the Platform as a seller, partner, fixer or Flip Desk user, where the claim is US$25,000 or less, GreenGo pays the AAA filing, administration and arbitrator fees above US$250, unless the arbitrator finds the claim frivolous or brought for an improper purpose. These hearings also happen by video or phone unless the arbitrator decides otherwise.

18.5 Arbitrator's authority. The arbitrator decides questions about the scope, enforceability and arbitrability of this Section, except that a court decides the validity of the class-action waiver in 18.6 and disputes about 18.7. The arbitrator can award any individual relief a court could. The award is final and binding, subject to review under the Federal Arbitration Act.

18.6 Class-action and jury waiver. YOU AND GREENGO MAY BRING CLAIMS AGAINST EACH OTHER ONLY INDIVIDUALLY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE OR REPRESENTATIVE PROCEEDING. YOU AND GREENGO WAIVE TRIAL BY JURY. If a court decides this waiver is unenforceable for a particular claim or remedy (such as public injunctive relief), only that claim or remedy is separated and decided in court, and it waits until arbitration of the remaining claims ends. The arbitrator may not conduct a class, collective, consolidated or representative arbitration, or award relief to anyone other than the individual parties, except as the AAA Mass Arbitration Supplementary Rules allow for administering similar cases together.

18.7 Mass filings. If 25 or more similar demands are filed against or by GreenGo by the same or coordinated counsel or organizations, the AAA Mass Arbitration Supplementary Rules and fee schedule apply (or the JAMS Mass Arbitration Procedures if JAMS administers), including their process-arbitrator and staged-fee procedures. Counsel on both sides certify, as they would in court, that each demand or defense is made on a good-faith factual basis and, for each demand, by a real claimant who authorized it after sending the notice in 18.1. The process arbitrator may enforce this against either side. Deadlines for bringing each claim pause from the date its 18.1 notice is sent until the claim is administered. A court decides disputes about whether this 18.7 applies.

18.8 Opt-out. You can opt out of this Section 18 within 30 days after you first accept these Terms by emailing info@greengopartners.com from your account email with the subject "Arbitration opt-out" and your name. Opting out changes nothing else in these Terms. If you opt out, Disputes go to the courts named in Section 17.

18.9 Changes to this Section. A change to this Section does not apply to any Dispute that arose, or that either party gave notice of, before the change takes effect; those Disputes stay under the version in effect when they arose. You can reject a material change to this Section by emailing info@greengopartners.com within 30 days after we notify you of it, and the prior version then continues to apply to you.

18.10 Severability. If any part of this Section is unenforceable, the rest stays in effect. But if the class-action waiver in 18.6 is found unenforceable for class or representative claims as a whole, this Section (except 18.1) does not apply to those claims, and they go to the courts named in Section 17. In no case will a Dispute proceed as a class arbitration.

19. General

  • These Terms and the incorporated policies are the entire agreement on their subject.
  • You may not assign these Terms without our consent. We may assign them, with notice to you, as part of a merger, acquisition, reorganization or sale of assets.
  • Failing to enforce a provision is not a waiver. If a provision is unenforceable, the rest remains in effect.
  • Neither party is liable for delays caused by events beyond its reasonable control.
  • The parties are independent. Except for GreenGo's limited payment agency in Section 4, these Terms create no partnership, employment or agency, and no third-party beneficiaries.
  • You will comply with U.S. export-control and sanctions laws.
  • The English version controls.
